1、 关于项目代理保证金

3.6 负责确认所有有关本项目之推广方案及支付推广费用,包括售楼部设计施工、样板间的设计施工、日常运营费用(不包括乙方销售人员的工资、交通、以及其他福利待遇)、项目广告设计、广告投放、建筑模型制作、示范单位设计及施工、展销会、新闻发布会等。

3.7甲方每月必须盖章确认由乙方提交的已(租/售)单位清单及佣金之明细;

3.8 甲方应开设专用收款帐户,并派遣专人在现场收取售楼房款、定金和相关代收费用。

4、乙方责任

4.1 乙方须从项目前期的市场分析、项目定位、建筑设计顾问、销售建议、销售方案、销售管理等,向甲方提供完善和高效的专业服务;

4.2 乙方承担销售现场销售管理人员及置业顾问的全部费用(包括员工工资、销售提成、交通、生活费、工伤、福利等);

4.12乙方负责协助甲方与购房业主签定正式《商品房买卖合同》;

4.13在正式销售前,乙方须向甲方提交详细销售计划书,并经双方签字认可后方可执行销售。

4.14 乙方在销售过程中,不能向客户作出虚假承诺或宣传,如有发生甲方保留对乙方追究法律责任的权利。

5、合同的解除

5.1 根据合同双方约定代理期限自动解除合同;

5.2 乙方员工的行为、言语严重损害发展商信誉及利益(明确定义另行商议)情况时,甲方有权解除代理合同,只须在正式解除合同前清付本合同规定应该支付的佣金,而无须支付任何赔偿;

5.3 甲方出现以下情况时,乙方有权解除代理合同,则甲方须于乙方提出解约后七日内, 付清合同规定的所有应付佣金及其他费用:

5.3.1 工期延误超过三个月(不可抗力情况除外);

5.3.2 协助推广的措施未能兑现,如售楼部及样板间工期无故延误、已应诺的广告投入无故

6、其他

一. 代理物业

2、项目上市(开盘)销售的条件为:有预售许可证、现场售楼处交付使用、户外广告出街、持续一个月以上的宣传推广、具备销售接待条件、蓄客量达到一定数量(如100组以上),则可择日开盘。

3、自正式开盘之日起18个月内须完成项目可销售面积的95%以上。

七、服务收费及其结算方式:

1、乙方受甲方委托,负责项目全程策划、销售等工作。甲方应按以下条款支付相应的服务费用给乙方:

A、销售代理费采取基准代理费和溢价奖励两个部分计提:销售均价在双方确认的销售底价以下(含此销售底价)时,只要是甲方认可的销售价格,则依据销售合同金额(以买卖合同为准)的2%计提代理服务费(简称代理费);销售均价在双方确认的销售底价以上时,销售底价以下部分按2%计提,超过销售底价以上部分按30%计提溢价奖励。

B、计提代理费和溢价奖励采取月结方式,开盘后第二个月开始,每个月的6日前计提上一个月的代理费。

2、甲方销售均价底价在开盘前一个月内以正式文件形式向乙方确定并作为合同附件。乙方即以此委托底价制定分户的上市(挂牌)价格表,且实现的销售价高于以上对应的委托底价的增加部份即为溢价。甲方对乙方实现的溢价进行奖励。具体溢价提成奖励方式为:溢价部分甲乙双方按照70%:30%分成;每月结算。

3、上述代理费每月30日为结算日。双方当日核算金额,并在下一个月六日以前付清应付款项,乙方提供合法发票。如有拖欠按所欠额每日支付万分之三的滞纳金。

4、房屋完成销售,可以计提代理费和溢价奖励的标准为:甲方收到全部房款。如客户进行银行按揭的,则需按揭款项到账后才能视为完成销售,并可以计提相关服务费用。

5、退房处理及定金的罚没:若客户缴付首期房款前悔约,所没收履约保证金双方各收取50%。若客户缴付首期房款后悔约,履约保证金及罚金归甲方所有,但乙方仍按原合同金额收取相应销售代理费。

八、其他约定:

1、乙方负责整个项目的全程营销策划工作,但不收取任何策划费用。

2、在本合同签订后,到开盘后乙方开始正式计提代理费前,甲方每月借支30000元给乙方,此借款在开盘后从代理费中抵扣返还。借支时间从签订本合同后的第二个月开始,每月6日前支付,乙方开具借款收据,在开盘后抵扣返还时,乙方以正式发票换回。

3、若因甲方工程进度、预售证等原因而影响乙方正常销售或开盘的,乙方可要求甲方改善,超过一个月的则乙方顺延实现销售目标的时间。

4、双方应通力合作,为对方工作提供各种便利。

5、本合同未尽事宜,双方签订补充协议或设立合同附件,补充协议或附件与本合同具有同等法律效力。

九、终止合同条件:

1、甲、乙双方确定以每6个月为一个销售考核周期(最低限度每个考核周期必须完成32%以上的销售率)。正常情况下,若乙方每销售周期不能完成阶段考核任务则甲方给予乙方一个月的努力期,若乙方仍然不能完成阶段考核任务,则前面已销售部份按1.5%提取代理费,如果已经提取的则乙方返还多提取部分。同时甲方有权单方解除合同,解除合同所造成的一切损失由乙方自己承担。

2、乙方配备的所有工作人员业务水平如达不到甲方的要求的,则在甲方提出整改要求之日起30日内必须重新安排人员直至甲方认可,如连续两次整改仍然达不到甲方的要求的,则甲方有权中止本合同所有委托事项。

3、甲方如发现乙方于销售代理过程中有任何未经甲方许可之销售行为,甲方首先可书面告知乙方并给予乙方五个工作日的整改期,若期满乙方仍未修正,则甲方有权责令乙方停止一切销售活动,并书面通知乙方终止本合同,如给甲方造成了经济损失的,甲方可以追究相应的经济赔偿责任。

4、如甲方未能完全履行其合同义务时,乙方首先可书面告知甲方并给予甲方五个工作日的整改期,若期满甲方仍未修正,则乙方可单方终止合同,并书面通知甲方,同时甲方仍须支付乙方于代理期间已售出单位之销售代理费和溢价奖励等。

十、如甲、乙双方在本合同执行过程中发生纠纷,可协商解决,如协商不成,可采取向项目所在地人民法院起诉的方式解决。

十一、本合同一式四份,双方各执两份,自双方签字盖章之日起生效。
